Definition of Systems. In this agreement, "Systems or System" means the web-based or mobile application system provided by PT Howden Insurance Brokers Indonesia to facilitate clients to look, download, upload, and do other required action through systems that ease the insurance placement, changes, endorsement, renewals, etc, and to know any information regarding their insurance details and services, or to buy our product and services.

Grant of License. We grant you a limited, non-transferable, royalty-free license to use the Systems in accordance with the terms of this agreement.

Permitted Uses. You may access and use when we open the access to the Systems or been granted a license for solely for your use.

Restricted Uses

No Distribution, etc. You may not distribute, license, or copy the same content that is contained or displayed in it.

No Modification. You may not modify, alter, or create any derivative works of the Systems.

No Reverse Engineering. You may not reverse engineer, decompile, decode, decrypt, disassemble, or derive any source code from the Systems.

Proprietary Notices. You may not remove, alter, or obscure any copyright, trademark, or other proprietary rights notice on or in the Systems.

No Warranties

"As Is." We provide the Systems and its content "as is," with all its faults, defects, and errors, and without any warranty.

Defects. We do not promise that it will be free of bugs, errors, viruses, or other defects. We will not be liable for your use of or inability to use the Systems, its content, or any associated service.

Disclaimer of All Other Warranties. We are not making any other express or implied warranties (including any merchantability or fitness for a particular purpose).

Ownership of Systems. We shall lawfully own the Systems and all intellectual property rights in and to it.

Confidentiality. We will not share any confidential data that obtained from you, unless it is required by law, court, or any other regulation applicable in Indonesia. We shall not in every occasion, required to indemnify related with this confidentiality terms. Furthermore, you agree releasing our responsibilities concerning the confidentiality data.

Rights. You have the right to access and get information about yourself, right to update your data, and to cancel your consent and request to delete your data in our system by notify us within 1x24 hours.

Consent to Use of Data. You agree to disclose your personal data (including but not limited your full name, date of birth, address, asset value type and models, health conditions, etc) and any other data required for the performance of services, and that we and our affiliates may collect and use technical information gathered as part of our support services. We may use this information, but only to improve our products and services. We will not disclose this information for other purposes.

Use of Data. Your data will be processed solely for the insurance placement or claims process. We will keep your data secure, and process should take place for the purpose you agreed. However, if we might face the circumstance where we need to disclose your data and it's not in accordance with the placement or claims, we will get your consent before disclosure based on prevailing law.

Termination by Us. We may terminate this agreement by permanently destroying all copies of data that uploaded into the Systems in our possession or control, revoking your access from Systems

Entire Agreement. This agreement contains all the terms between by the parties relating to its subject matter. It replaces all previous discussions, understandings, and agreements.

Assignment. You may not assign this agreement or any of your rights under it. We may assign this agreement or any of our rights at any time without notice or the need for or your consent.

Severability. If any part of this agreement is declared unenforceable or invalid, the remainder will continue to be valid and enforceable.

Waiver. A party's failure or neglect to enforce any of rights under this agreement will not be deemed to be a waiver of that party's rights.

Notices. We may deliver any notice required by this agreement via pop-up window, dialog box, or other on-screen device, even though you may not receive the notice until you next launch the Systems. Any such notice will be deemed delivered on the date we first make it available through the Systems.

Data Accuracy. You guarantee that the data that has been given to us through the systems are valid. Any other update on it, you should notify for us to update your data in the systems.

Inaccuracy of Data. If we found that your data supposed to be not valid or updated, you agree to release us from any legal responsibility including to process or paid your claims, not to place your insurance request, and any other responsibility that we might have related to our services.

Governing Law. This Agreement will be governed and construed in accordance with the laws of Indonesian Law, without regard to its conflict of laws rules.

Waiver of Jury Trial. Each party irrevocably waives its rights to trial by jury in any action or proceeding arising out of or relating to this agreement or the transactions relating to its subject matter.

Headings. The headings used in this agreement and its division into sections, schedules, and other subdivisions do not affect its interpretation.
